Fairhill Solicitors is a growing law firm based in the City of London, providing legal services to both businesses and private individuals across the UK and internationally.
We are recruiting an experienced Senior Commercial Paralegal to join our growing practice. This is a varied, hands-on role covering a broad range of commercial and corporate matters, with the opportunity to work directly with clients and take substantial responsibility for progressing matters under appropriate solicitor supervision.
Key Responsibilities
- Draft, review and negotiate commercial contracts and agreements.
- Advise and assist on contractual terms, obligations, liabilities and commercial risks.
- Draft and review service agreements, consultancy agreements, supply agreements, terms and conditions and other business contracts.
- Assist with shareholder agreements, partnership arrangements and corporate governance matters.
- Support corporate transactions, including share purchases, asset purchases and business acquisitions.
- Conduct legal due diligence and assist with transaction documentation.
- Assist with commercial disputes and other contentious matters where required.
- Draft legal correspondence and support dispute resolution and settlement negotiations.
- Conduct legal research and prepare practical, commercially focused legal advice.
- Liaise directly with clients, solicitors, accountants and other professional advisers.
- Identify legal and commercial risks and recommend practical solutions.
- Manage a varied caseload independently with appropriate supervision.
- Support general commercial, compliance and governance matters.
Candidate Profile
- Minimum 5 years' relevant experience in commercial and/or corporate law.
- Strong commercial contract drafting, review and negotiation experience.
- Experience handling matters with a high degree of independence.
- Strong understanding of contractual obligations, liabilities and commercial risk.
- Commercially minded, with the ability to identify practical solutions rather than purely technical legal issues.
- Excellent written and verbal communication skills.
- Confident dealing directly with clients and professional advisers.
- Strong organisational skills and the ability to manage multiple matters and deadlines.
- Experience in corporate transactions and/or commercial disputes would be an advantage.
- Experience in intellectual property matters (e.g. IP clauses, licensing, trademarks, brand protection) is highly advantageous.
