An opportunity for a qualified governance professional to join the UK Company Secretarial team as an Assistant Company Secretary. The scope of your role will be UK and international subsidiary and fund boards, plus support to committees, where relevant. Your role will also involve governance related project work, when the opportunity arises.
How you'll spend your time...
The role will primarily support the Group’s subsidiaries, providing high quality, efficient support to UK and ex UK entities (regulated and unregulated) and their branches, and committees. Primarily the candidate will be required to:
Act as lead company secretary to subsidiary Boards, LLPs and Committees
Prepare agendas in consultation with the respective Chairs, and assemble and distribute Board, Committee and Shareholder packs in electronic format
Attend and minute Board meetings, shareholder meetings and other committee meetings
Prepare action lists and co-ordinate the timely follow up of actions, including execution of documents according to local requirements
Attend and contribute to any pre-meetings in advance of Board meetings
Support working with the General Counsel's Organisation ensuring compliance with statutory and regulatory requirements, the articles of incorporation (or equivalent) and with good corporate governance practices
Arrange relevant statutory filings, maintain local statutory records as necessary and checklists of filing requirements in multiple jurisdictions (including for branches) and liaise with external company secretaries / external service providers as needed
Assist with maintenance of the Group’s statutory registers via Diligent Entities
Additionally, the role will support the organisation's general legal and regulatory compliance functions as required, for example:
Maintain various corporate governance charts, guides, policies and terms of reference
Provide general assistance on group wide projects as and when needed
Contributing to team meetings and assisting the team in continuously improving processes and governance practices
To be successful in this role you will have...
Must be a qualified governance professional or qualified solicitor.
Previous demonstrable board support experience, ideally in Financial Services and maintaining corporate filings, ideally in multiple jurisdictions
Good knowledge of applicable laws, governance codes and regulations
The candidate must be able to demonstrate accuracy and attention to detail; be proactive, a self-starter, and extremely well organised
Fluent business English will be needed.
Working within a global financial services group ideally including matrix management
Using electronic board packs and company filing databases (e.g. Diligent Entities, Nasdaq Board Vantage and similar software)
Minuting board meetings
