The Legal, Risk & Governance function partners with stakeholders across the business to maintain a robust governance, compliance and risk framework, supporting a safe, sustainable and compliant environment in which the organisation can grow.
Working closely with teams including Finance, Investor Relations, Risk & Assurance, Communications and Procurement, the function helps ensure that corporate policies, delegated authorities and regulatory requirements r across the Group.
The Deputy Company Secretary plays a key role in supporting the Board and its Committees, ensuring compliance with the obligations of a listed company and overseeing subsidiary governance across Essentra’s global entity structure.
As a senior member of the Legal, Risk & Governance team, the role holder will provide expert governance advice, build strong relationships across the business, and act as a trusted point of contact for a broad range of governance, compliance and corporate matters, helping to identify practical solutions and drive best practice.
Responsibilities:
Board and Committee Support
- Co-ordinate the annual Board and Committee calendar, including forward agendas, Terms of Reference and meeting logistics
- Prepare and distribute agendas and Board/Committee papers, working closely with the Chair, Executive Leadership Team and paper authors to ensure timely, high-quality submissions
- Attend meetings, produce accurate minutes, maintain statutory records and monitor completion of actions and governance decisions
Regulatory & Governance Compliance
- Support compliance with the governance and regulatory requirements of a UK listed company, including FCA, Companies House and National Storage Mechanism filings
- Maintain Board and PDMR records, including directors' interests, share dealing approvals and governance disclosures
- Support the planning and delivery of the Annual General Meeting and any other shareholder meetings
Annual Reporting & Statutory Filings
- Prepare governance-related disclosures and committee reports for inclusion in the Annual Report
- Liaise with external auditors and internal stakeholders to support year-end governance requirements
- Ensure statutory accounts and other required filings are completed accurately and on time across relevant jurisdictions
Governance Operations & Projects
- Maintain governance systems, records, policies and intranet content to support effective corporate governance across the Group
- Support wider Legal, Risk & Governance activities, including insurance renewals, data protection requirements and continuous improvement initiatives
- Lead or contribute to governance-related projects and undertake ad hoc activities as required
Skills and Experience:
- Educated to degree level or equivalent
- CGI qualification
- Previous experience in a company secretarial or corporate governance role
- Strong analytical skills and attention to detail
- Excellent written and verbal communication skills, including the ability to prepare and present information clearly
- Strong stakeholder management skills with a collaborative, business-partnering approach
- Proactive, flexible and solutions-focused, with a commitment to delivering a high-quality service
- Strong organisational and IT skills, with the ability to manage competing priorities and deadlines (desirable)
- Experience working within a multinational or listed company environment (desirable)
- Additional language skills (desirable)
