Job Purpose
Intercontinental Exchange (ICE) is seeking a highly skilled and commercially minded Associate General Counsel to serve as the primary legal partner supporting ICE's global proprietary exchange data business. Reporting directly to the Deputy General Counsel and operating within the parent company's General Counsel organization, this is a high-visibility, high-impact role with direct exposure to the General Counsel, C-suite executives, and SVP-level business leaders.
This attorney will lead commercial licensing matters across ICE's exchange data product suite, navigate complex regulatory environments across multiple jurisdictions, and play an active role in emerging areas including digital assets and AI-driven legal operations.
Responsibilities

Commercial & Licensing

Serve as lead counsel for all commercial license transactions supporting ICE's global proprietary exchange data business

Draft, negotiate, and manage product licenses for exchange traded products (ETPs), including index, benchmark, and data feed agreements

Advise on software license agreements governing technology platforms and delivery infrastructure for exchange data products

Structure and execute complex, multi-party licensing arrangements with exchanges, data vendors, institutional clients, and technology partners

Regulatory & Compliance

Provide substantive legal counsel on regulatory matters impacting exchange data and derivative markets, with emphasis on CFTC, FCA, ESMA, and SEC frameworks

Monitor evolving regulatory developments and translate implications for business and product strategies

Partner with compliance teams to ensure data licensing practices adhere to applicable exchange rules, market data policies, and regulatory requirements across jurisdictions

Emerging Technologies

Advise on legal and regulatory considerations for innovative products in the digital assets and cryptocurrency space

Partner with business and technology teams on the creation, deployment, and governance of AI tools designed to streamline legal operations and workflows

Identify and manage legal risks associated with AI-generated outputs, data provenance, and automated decision-making in commercial contexts

Cross-Functional Leadership

Engage directly with senior business leaders, including C-suite and SVP-level executives, providing clear, actionable legal guidance

Collaborate with internal legal colleagues across corporate, IP, regulatory, and technology law practices

Manage outside counsel relationships and associated budgets as needed
Knowledge and Experience
Juris Doctor (JD) or equivalent legal qualification; admission to the bar in New York, England & Wales, or another relevant jurisdiction
8–12+ years of legal experience with a substantive focus on commercial licensing, financial products, or capital markets
Demonstrated expertise in derivative exchange markets and a working knowledge of CFTC, FCA, ESMA, and SEC regulatory regimes
Proven track record in drafting and negotiating complex commercial license agreements, including data, product, and software licenses
Experience advising senior business executives in a fast-paced, high-stakes environment
Preferred Knowledge and Experience
In-house counsel experience at a financial exchange, market data business, or financial technology firm
Familiarity with digital assets, crypto market structure, or tokenized financial products
Experience with AI governance frameworks, technology licensing, or data rights in the context of machine learning
Dual qualification or cross-border practice experience (US and UK/EU)
