We’re seeking a future team member for the role of SENIOR SPECILAIST, CORPORATE PARALEGAL to join our offshore mutual fund administration business team. This role is located in Grand Cayman.
Assisting the Senior Fiduciary Manager (SFM) in managing and overseeing the day-to-day trust related administrative activities of our fiduciary responsibilities related to BNY Mellon’s Offshore Fund Management subsidiary.
As part of a team will assist in the review, drafting, editing and negotiation of legal documents, (i.e. offering Memorandums, and investment management agreements etc.) and be able to identify non-standard matters that are contrary or in conflict with BNYM Cayman’s service model and risk profile and assess materiality of such non-standard matters.
Participate in the development and oversight of new business conversion plans, trust/fund restructurings and liquidations, and coordinate the ongoing delivery of trust services.
Maintain and monitor Cayman Trust work practices and procedures ensuring fiduciary obligations are met and fiduciary risks are identified, assessed and mitigated.
Liaise with Trustee’s counsel, client counsel and internal counsel on matters relating to the delivery of legal documents and providing review comments from a trustee, administrator and business perspective and assist with the preparation of trustee resolutions and unitholder resolutions.
Responsible to ensure relevant existing and new local and overseas regulations are addressed in fund governing documents, including Company’s pro-forma documents.
Responsible for the periodic file reviews of fund documentation for accuracy and timeliness.
Responsible for maintaining log and uploads of executed contracts on the document management system.
Work in conjunction with the SFM to manage business development process, entity documentation restructuring process and the trust/fund liquidation process.
Responsible for ensuring timely registration and filing of trusts and funds with the Cayman Islands Monetary Authority and assisting with retail Japanese fund filings in accordance with client deadlines.
Responsible for the maintenance of all fund legal records (i.e. physical and digital records) including the maintenance of intercompany agreements.
Attend board meetings as a representative of the Trustee, alongside and/or in the absence of the SFM and assist with board meeting preparation, collating documents from all internal stakeholders and assist with preparation of agendas/meeting packs for trustee committee meetings.
Liaise with relevant services providers, fund sponsors, attorneys, investment managers, custodians, sub-administrators, relationship management offices and local regulator during the trust/fund establishment phase, restructuring phase and liquidation phase or as when necessary.
Demonstrate proficiency in the use of approved in-house AI tools and technology platforms to improve productivity, streamline workflows and support high quality client service delivery.
The applicant should have the ability to operate with limited supervision and under considerable pressure. Limited training will be provided.
An internationally recognized law degree.
A comprehensive working experience of mutual fund and/or trust structures (preferably unit trusts) with at least three to five years of experience in the finance industry
At least four years of experience working as a paralegal in a common law jurisdiction.
Knowledge of Cayman Islands Acts and regulations (The Mutual Fund Act (as amended), Corporate Governance Guidelines, The Companies Act, The Trust Act, AML Regulations)
Working knowledge of Cayman Islands legislation relevant to the Trust and Funds business as well as awareness of applicable international regulations.
Proficient in the use of Microsoft suite of applications.
Attendance and participation in Fund Meetings preferred.
English required with excellent communication and sound organizational skills are essential.
Able to routinely attend conference calls outside office hours.
