Job Summary
The Company Secretary Lead will play a key role in supporting and delivering high-quality company secretarial and corporate governance services across Lumorus’ global client portfolio. The role is responsible for overseeing governance administration, regulatory compliance, board and shareholder support, and governance advisory activities for listed and private companies across multiple jurisdictions.
Working closely with the Manager Company Secretary Practice, the successful candidate will lead the day-to-day coordination of governance engagements, support complex client matters, and ensure the timely and accurate delivery of company secretarial services in line with regulatory requirements and governance best practices.
This role requires a highly organised, detail-oriented, and commercially aware professional with strong leadership, communication, and stakeholder management skills. The Company Secretary Lead will also provide guidance and mentorship to junior team members while contributing to the continuous improvement and growth of the Company Secretarial Practice. 1. Board & Governance Support
- Lead the coordination and administration of Board and Committee meetings across client entities.
- Oversee the preparation of board packs, agendas, resolutions, meeting notices, and governance documentation.
- Attend meetings where required and ensure accurate, professional, and timely minute-taking.
- Track board actions, governance decisions, and follow-up matters to ensure effective implementation.
- Support directors and senior executives on governance procedures and board administration matters.
- Provide guidance to clients on corporate governance best practices and regulatory obligations.
- Support compliance with applicable governance codes, company law requirements, and internal governance frameworks.
- Assist clients in strengthening governance structures, board processes, and decision-making frameworks.
- Support governance reviews, governance health checks, and board effectiveness initiatives.
- Stay updated on emerging governance trends, regulatory developments, and industry best practices.
- Oversee statutory filings and ensure timely submission of annual returns, confirmations, and regulatory disclosures.
- Maintain statutory registers, beneficial ownership records, and corporate entity information.
- Monitor compliance deadlines and ensure client entities remain compliant with relevant legal and regulatory obligations.
- Coordinate with regulators, external counsel, auditors, and service providers where required.
- Ensure governance records and compliance documentation are accurate, complete, and properly maintained.
- Coordinate Annual General Meetings (AGMs), Extraordinary General Meetings (EGMs), and shareholder communications.
- Prepare shareholder resolutions and related governance documentation.
- Maintain shareholder records and support changes relating to directors, officers, shareholding, and entity structures.
- Support entity incorporation, restructuring, dissolution, and corporate changes where applicable.
- Assist with governance aspects of transactions, restructuring projects, and corporate actions.
- Serve as a key point of contact for assigned governance and company secretarial clients.
- Build strong professional relationships with board members, executives, and client stakeholders.
- Deliver responsive, high-quality governance support in line with client expectations and service standards.
- Support client onboarding and contribute to the expansion of company secretarial services.
- Identify opportunities to improve client delivery processes and governance support frameworks.
- Provide technical guidance, mentoring, and operational support to junior Company Secretaries and governance staff.
- Review governance documentation and client deliverables to ensure quality and accuracy.
- Support workflow management, task allocation, and prioritisation across the practice team.
- Assist in developing internal governance procedures, templates, and best practice standards.
- Promote a culture of accountability, collaboration, professionalism, and continuous improvement.
- Oversee the effective administration, maintenance, and continuous improvement of the CoSec Hub technology platform and related governance systems.
- Ensure governance records, statutory information, compliance calendars, and client data within CoSec Hub are accurate, up to date, and properly maintained.
- Act as an internal point of contact for CoSec Hub usage, troubleshooting, user support, and process guidance.
- Coordinate with internal teams, external providers, and technology partners regarding platform enhancements, integrations, and issue resolution.
- Support governance reporting, compliance tracking, and management dashboards generated through CoSec Hub and related systems.
- Identify opportunities for automation, standardisation, and innovation within company secretarial operations and governance processes.
- Bachelor’s Degree in Law, Governance, Business Administration, Corporate Administration, or a related field.
- Minimum of 3 to 5 years’ experience in company secretarial, governance, legal compliance, or corporate administration roles.
- Strong knowledge of corporate governance principles, statutory compliance requirements, and board administration practices.
- Experience supporting Board and Committee meetings, including preparation of agendas, board packs, resolutions, and minutes.
- Experience managing statutory filings, corporate records, and regulatory compliance processes.
- Strong organisational, project management, and stakeholder management skills.
- Excellent verbal and written communication skills.
- High attention to detail with the ability to manage multiple priorities and deadlines.
- Proficiency in Microsoft Office Suite and governance technology platforms, including CoSec Hub or similar systems.
- Ability to work independently and collaboratively within a fast-paced consultancy environment.
- Professional qualification in Company Secretarial Practice, Governance, Compliance, or Corporate Law is an advantage.
- Experience supporting listed companies or multinational entities.
- Familiarity with UK corporate governance frameworks and Companies House filing requirements.
- Experience using digital governance and entity management systems.
- Commercial awareness and client relationship management experience.
